These Terms of Service ("Terms") govern your access to and use of the Supranova platform and services. By using Supranova, you agree to these Terms.

Acceptance of Terms

By accessing or using Supranova, you agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization. If you do not agree, you may not use the service.

Description of Service

Supranova provides an AI-native operating system for private capital, including deal intelligence, portfolio monitoring, fund administration, LP reporting, and related tools. We may update, enhance, or modify features from time to time to improve the service.

Accounts & Eligibility

You must provide accurate registration information and are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must be at least the age of majority in your jurisdiction and legally capable of entering into a binding agreement.

Acceptable Use

You agree not to misuse the service, including by attempting to gain unauthorized access, interfering with platform integrity or security, reverse engineering the software, uploading malicious code, or using the service to violate any applicable law or the rights of others.

Customer Data & Ownership

You retain all ownership rights to the data you submit to the platform ("Customer Data"). You grant us a limited license to host, process, and use Customer Data solely to provide and improve the service. You are responsible for ensuring you have the necessary rights to submit such data.

Confidentiality

Each party may have access to confidential information of the other. Both parties agree to protect such information with reasonable care and to use it only as necessary to perform under these Terms, except where disclosure is required by law.

Fees & Payment

Paid plans are billed according to the pricing and billing terms agreed in your order or subscription. Fees are non-refundable except as required by law or expressly stated. Late or unpaid amounts may result in suspension of access.

Intellectual Property

The Supranova platform, including all software, designs, and trademarks, is owned by Supranova and its licensors and is protected by intellectual property laws. Except for the rights expressly granted to you, no rights are transferred under these Terms.

Disclaimers

The service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free.

Limitation of Liability

To the maximum extent permitted by law, Supranova shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of the service. Our aggregate liability shall not exceed the fees paid by you in the twelve months preceding the claim.

Termination

You may stop using the service at any time. We may suspend or terminate access if you breach these Terms or for legal or security reasons. Upon termination, your right to use the service ceases, and Customer Data will be handled in accordance with our Privacy Policy and data processing agreements.

Governing Law

These Terms are governed by the laws of the jurisdiction in which Supranova is established, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in that jurisdiction.

Changes to Terms

We may update these Terms from time to time. We will notify you of material changes through the service or by email. Continued use of the service after changes take effect constitutes acceptance of the revised Terms.
